SERVICE AGREEMENT
This service agreement ("Agreement") shall constitute a binding between AI-Reply.com, a privately held company having presence in Cleveland, Ohio U.S. and the authorized representative ("Customer") subscribing to this service and is made effective as of date of purchase.
SERVICE
("Service") AI-Reply.com will provide the hosted web-based technology ("Application") to be accessed by the Customer online ("Account"). Application may be modified and upgraded at any time. This Service is limited to the Customer and my not be transferred or sub-licensed without prior consent. AI-Reply.com reserves the right to refuse Service at our discretion.
LICENSE
("License") During the term of this Agreement, Customer hereby grants to AI-Reply.com a non-exclusive license to reproduce, distribute, and publicly display the Customers trade name, trademarks, service marks, and logos (collectively called "Marks") under the condition that AI-Reply.com conforms to the Customers standards. AI-Reply.com grants the Customer privileges to use any and all of AI-Reply.com Marks so long as Customer agrees to conform to its standards.
INTELLECTUAL PROPERTY OWNERSHIP
This Agreement does not transfer from AI-Reply.com to Customer any Technology or Software, all rights will remain solely with AI-Reply.com.
CUSTOMER COMPLIANCE
Customer must comply with the following rules set forth by AI-Reply.com
- Service may be used only for lawful purposes.
- Customer will not post or transmit through the Service any material that AI-Reply.com deems to be unlawful, offensive, or otherwise objectionable.
- Customer will not abuse AI-Reply.com servers by deliberately overloading the system or attempting to gain unauthorized access.
SERVICE FEES
("Service Fees") Customer agrees to pay all fees and charges billed to the Customers account and that AI-Reply.com may charge Customers credit card, debit card or checking account automatically for payable Service. Charges will be made by our affiliate partner 2Checkout.com. If Customer defaults on payment, AI-Reply.com will immediately suspend Customers right to use the Service until such payment is received.
PRIVACY POLICY
Customer information is stored on secure database servers. AI-Reply.com will not disclose any Customer information to third-parties nor will it use this information for purposes other than to maintain the Account. Customers data is backed up and archived regularly for quick recovery in case of disaster.
LIMITATIONS OF LIABILITY
Under no circumstance will AI-Reply.com, its partners, its employees, or its affiliates be liable for any claims, suits, actions, or proceeding as a result of, including but not limited to, lost revenue, lost profits, lost data resulting from the use of or inability to use the Service, caused by interruptions, bandwidth congestion, equipment failure, software failure, technology failure, or from acts of God.

"AI-Reply" is a trademark of AI-Reply.com. "CSHS", "WRTS", "AIMS", and "SOMI" are service marks of AI-Reply.com. All rights are reserved.
COPYRIGHTS
AI-Reply.com respects the intellectual property rights of others and we ask all of our Customers to do the same.
TERMINATION
("Termination") The Customer may terminate this Agreement at any time for any reason or for no reason. AI-Reply.com, in its sole discretion, may terminate this Agreement if the Customer has violated or acted inconsistently with the spirit of this Contract. If either party exercises the Termination clause, Customer will forfeit their Service and Service Fees.
AGREEMENT REVISIONS
AI-Reply.com reserves the right to revise this Agreement at any time. In the event Agreement is revised, AI-Reply.com will attempt to notify Customer by email.
CUSTOMER ACCEPTANCE
Customer must be of legal age in the state of their residency to enter into this binding Agreement. Customer agrees that any attempt to violate any restrictions set forth in this Agreement will result in the immediate Termination.
